Vendor Terms & Conditions

The agreement between JoPass and participating venues.

Last updated: October 2026

These Vendor Terms & Conditions ("Terms") form a binding agreement between JoPass ("JoPass", "we", "us") and the business or individual that registers a venue on the JoPass platform ("Vendor", "you"). By creating a vendor account, listing deals, or otherwise using the JoPass vendor portal, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you confirm that you are authorised to bind that business.

1. Definitions

2. Eligibility & Account Approval

Vendor accounts are available only to businesses approved in advance by JoPass. You must provide accurate, current, and complete information about your business, and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must hold all licences, permits, and registrations required under the laws of Jordan to operate your business and provide the services you list.

3. Nature of the JoPass Service

JoPass operates a booking marketplace that connects Vendors with Customers. JoPass is an intermediary only. The contract for the service booked is between you and the Customer. JoPass does not provide, and is not responsible for, the services delivered at your venue. You are solely responsible for the provision, quality, and safety of those services.

4. Listings & Deals

You are responsible for the accuracy of everything you list, including descriptions, prices, availability, dates, times, capacity, and images. By publishing a Deal, you agree that:

5. Pricing, Commission & Payouts

You set the JoPass Price for each Deal. JoPass collects payment from the Customer at the time of booking on your behalf.

6. Bookings, Cancellations & Refunds

You must honour all confirmed bookings. A Customer may cancel a confirmed booking up to 12 hours before the session start time for a full refund; cancellations within 12 hours are non-refundable unless you agree otherwise. If you cancel a confirmed booking, or fail to provide the booked service, the Customer will be refunded in full and the corresponding amount will be deducted from your payout. Repeated cancellations or no-shows by a Vendor may result in suspension under Section 10.

7. Vendor Obligations & Standards

8. Content, Trademarks & Licence

You retain ownership of the content you upload (such as your business name, descriptions, logo, and photos). You grant JoPass a non-exclusive, royalty-free licence to use, display, reproduce, and distribute that content for the purpose of operating, promoting, and marketing the Platform and your listings. You confirm that you hold all rights necessary to grant this licence.

9. Customer Information & Data Protection

Any Customer information you receive through the Platform may be used only to fulfil and manage bookings. You must not use it for unsolicited marketing, sell or share it with third parties, or retain it longer than necessary, and you must handle it in accordance with applicable Jordanian data-protection law.

10. Suspension & Termination

You may stop using the Platform at any time. JoPass may suspend or terminate your account, remove listings, or withhold payouts for amounts in dispute if you breach these Terms, fail to honour bookings, or engage in conduct that harms Customers or the Platform. On termination, JoPass will remit any undisputed payouts owed to you for completed bookings.

11. Reviews & Ratings

Customers may leave reviews and ratings of their experience. You must not offer incentives for positive reviews, post fake reviews, or attempt to manipulate ratings. JoPass may display, moderate, or remove reviews in accordance with its policies.

12. Disclaimers & Limitation of Liability

The Platform is provided "as is" and "as available". JoPass does not guarantee uninterrupted availability, a minimum number of bookings, or any particular level of sales. To the maximum extent permitted by law, JoPass is not liable for indirect, incidental, or consequential losses, or for loss of profits or goodwill. JoPass's total liability to you arising out of or relating to these Terms shall not exceed the total Commission earned by JoPass from your bookings in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold JoPass harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from the services you provide, your listings, your breach of these Terms, or your violation of any law or third-party right.

14. Changes to These Terms

JoPass may update these Terms from time to time. We will make the updated Terms available on the Platform. Your continued use of the vendor portal after changes are posted constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the Hashemite Kingdom of Jordan. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Amman, Jordan.

16. Force Majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, civil unrest, strikes, utility or internet failures, or government action.
